8. Account Suspension and Termination

9. Limitation of Liability

10. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiations between you and wagiph.

If a dispute cannot be resolved through negotiation within thirty (30) days, you agree that the dispute shall be submitted to binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. The arbitration shall take place in Metro Manila, Philippines, and shall be conducted in the English language. The decision of the arbitrator shall be final and binding upon both parties. Notwithstanding the foregoing, wagiph retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of its intellectual property rights.
